Acceptance of Terms

By accessing or using NouxVoice ("the Service"), operated by NouxAI Pty Ltd ("NouxAI", "we", "us"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not use the Service. These terms apply to all users, including clinic administrators, staff members, and visitors to our website.

Service Description

NouxVoice is an AI-powered voice receptionist designed for healthcare practices. The Service provides:

• Automated call answering and patient inquiry handling
• Appointment booking, modification, and cancellation
• Call transcription and analytics
• Integration with clinic calendars and scheduling systems
• Multi-language support based on your operating region

The Service is intended for use by licensed healthcare practices operating in Australia, Canada, or India.

Account Terms

• Each clinic or healthcare practice is entitled to one NouxVoice account.
• The account administrator is responsible for all activity under the account, including actions taken by team members.
• You must provide accurate and complete registration information and keep it up to date.
• You are responsible for maintaining the confidentiality of your login credentials.
• You must notify us immediately at contact@nouxai.com if you suspect unauthorized access to your account.

Subscription and Billing

NouxVoice offers four subscription tiers:

• Base: for small practices with low call volumes
• Growth: for growing practices with moderate call volumes
• Professional: for established practices with higher call volumes and advanced features
• Enterprise: for multi-location or high-volume practices with custom requirements

Subscriptions are billed monthly. If your usage exceeds the included call minutes for your tier, overage charges will apply at the per-minute rate specified in your plan. You will receive notification when approaching your included minutes.

Free Trial

New accounts are eligible for a 14-day free trial. During the trial, you will have access to the full features of the Growth tier. At the end of the trial period, you must select a paid subscription to continue using the Service. If you do not subscribe, your account will be suspended.

Acceptable Use

You agree to use the Service only for lawful purposes. You must not:

• Use the Service for anything other than legitimate healthcare reception operations
• Attempt to reverse-engineer, decompile, or extract the AI models or algorithms underlying the Service
• Abuse, overload, or interfere with the Service infrastructure
• Use the Service to transmit illegal, harmful, or fraudulent content
• Share your account credentials with unauthorized third parties
• Use the Service in a manner that violates applicable healthcare regulations in your region

Intellectual Property

The Service, including all software, AI models, designs, and documentation, is the intellectual property of NouxAI Pty Ltd. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Service for its intended purpose.

You retain ownership of all data you provide to the Service, including clinic information, patient data, and call content. We claim no ownership over your data.

Service Availability

We target 99.9% uptime for the NouxVoice service. Scheduled maintenance windows will be communicated at least 48 hours in advance via email. We are not liable for downtime caused by factors beyond our reasonable control, including third-party service outages, natural disasters, or network failures.

Limitation of Liability

To the maximum extent permitted by law, NouxAI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

NouxVoice is an AI assistant and should not be considered a substitute for trained medical reception staff in emergency situations. The Service is not designed to handle medical emergencies.

Termination

Either party may terminate the subscription with 30 days written notice. Upon termination:

• Your access to the Service will end at the conclusion of the current billing period.
• You may request an export of your data within 30 days of termination.
• After 30 days, all your data will be permanently deleted from our systems.

We reserve the right to suspend or terminate accounts that violate these Terms immediately and without notice.

Governing Law

These Terms are governed by the laws of the jurisdiction corresponding to your registered operating region:

• Australia: laws of New South Wales, Australia
• Canada: laws of Ontario, Canada
• India: laws of the Republic of India

Changes to Terms

We may update these Terms from time to time. We will provide at least 30 days notice of material changes via email to your registered account address. Continued use of the Service after such notice constitutes acceptance of the updated Terms.
